Accountabilities • Support the legal team across a broad range of corporate, transactional, governance, compliance, and operational legal matters.
• Manage and coordinate M&A closing processes for acquisitions involving stock purchases, asset purchases, mergers, and other transaction structures.
• Prepare and manage signature pages, closing checklists, closing sets, diligence materials, and other transaction documentation.
• Coordinate and review diligence deliverables, including lien, UCC, and title searches.
• Draft, review, and coordinate ancillary transaction documents such as bills of sale, assignment and assumption agreements, officer and secretary certificates, payoff letters, lien releases, and escrow agreements.
• Support public-company compliance activities, including Section 16 filings, Exchange Act and Nasdaq compliance matters, D&O questionnaires, insider trading policy administration, equity plan administration, and Board and annual meeting logistics.
• Maintain corporate minute books, organizational charts, governance records, equity records, and other legal documentation for the parent organization and subsidiaries.
• Establish and maintain legal and compliance systems for acquired businesses and affiliated entities.
• Support employee ownership programs, including equity administration and cap table maintenance.
• Form new subsidiaries in connection with acquisitions, including preparing and filing certificates of incorporation or formation, bylaws, operating agreements, organizational resolutions, and IRS Form SS-4 applications.
• Support corporate governance activities, including preparing Board and committee materials, drafting Board and stockholder/member resolutions and written consents, and coordinating required corporate documentation.
• Assist outside counsel and the internal legal team with routine litigation and pre-litigation matters, including wage garnishments, income withholding orders, subpoenas, collections, deadlines, and litigation files.
• Manage relationships with registered agents, corporate filing services, and other external legal vendors.
• Maintain contract repositories and legal compliance calendars, including annual reports, franchise tax filings, business license renewals, and other recurring obligations.
• Assist with trademark and other intellectual property docketing and administrative requirements.
• Identify opportunities to improve and streamline acquisition and legal processes.
• Partner with product and technology teams to explore and implement software, automation, and other technology solutions that improve legal team efficiency and scalability.
• Take ownership of assigned workstreams, proactively identify issues, and ensure projects progress efficiently from initiation through completion.
Requirements
• 8+ years of paralegal experience, including meaningful M&A transaction experience in both a law firm environment and an in-house legal team supporting a publicly traded company.
• Paralegal degree, certificate, or comparable legal training is preferred but not required.
• Demonstrated ability to manage and drive M&A closing processes, including signature coordination, closing checklists, closing sets, and transaction documentation.
• Hands-on experience forming legal entities, including preparing and filing incorporation or formation documents and IRS Form SS-4 applications.
• Experience drafting Board and stockholder/member consents, resolutions, and related corporate governance documentation.
• Strong understanding of corporate governance, entity management, and legal recordkeeping practices.
• Experience supporting public-company compliance activities, such as SEC and Exchange Act reporting, Section 16 filings, Board and committee support, is a plus.
• Experience handling routine litigation and pre-litigation matters, including garnishments, income withholding orders, subpoenas, collections, and deadline tracking, is a plus.
• Equity administration and cap table management experience is preferred.
• Notary public commission is a plus.
• Familiarity with legal technology, document automation, contract management, and electronic signature platforms is a plus.
• Exceptional written, verbal, and interpersonal communication skills.
• Highly organized with strong attention to detail, accuracy, deadlines, and follow-through.
• Self-starter who takes initiative, exercises sound judgment, and can independently manage complex workstreams.
• Ability to prioritize effectively and manage multiple projects and changing demands.
• Strong collaborative skills and ability to work effectively with legal, product, finance, HR, operations, outside counsel, and other stakeholders.
• Comfortable working in a fast-paced, evolving environment where processes can be improved and scaled.
• Interest in using technology and innovative approaches to improve legal operations and business processes.
