We are seeking an experienced Senior Legal Counsel based in Toronto with strong technology background to join our organization as a key member of our Legal team, reporting to the Global General Counsel. This is a hybrid role with flexibility between remote and in-office at our Toronto headquarters. Responsibilities: • Provide business-focused legal advice on technology transactions, such as SaaS, software licensing, software development, technology partnerships and services engagements. • Support internal compliance initiatives on topics such as privacy, open source, marketing, export compliance and others. • Support M&A activity, including overseeing due diligence and assisting with post-acquisition integration activities. • Work with product teams on development of new products and features and advise on intellectual property, open source, data protection and similar topics. • Assist with management of legal entities in various global jurisdictions. • Coordinate with outside legal counsel in different parts of the world. Qualifications: • Active member in good standing with Law Society of Ontario. • 7+ years of relevant experience in a top-tier law firm or corporate legal department in SaaS/software. • Extensive experience drafting and negotiating technology-related agreements, including software licenses, SaaS agreements, technology development contracts and partner agreements. • Knowledge of data privacy requirements and experience with data protection agreements. • Exceptional negotiation, communication and interpersonal skills with ability to support fast-paced sales and partner transactions and advise internal sales clients. • Business-minded individual with a commercial mindset. • Proven ability to work under tight deadlines and deliver results. • Creative problem-solving skills and a collaborative team player. This position offers a salary range of $180,000 - $200,000 CAD per year plus participation in a discretionary bonus plan. Final compensation will be based on skills, experience, and qualifications.
